Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") form a legally binding agreement between Inverba d.o.o., a company registered in Serbia ("Inverba", "we", "us"), and the organisation or individual ("Customer", "you") accessing or using the InVerba platform and related services (collectively, the "Service").

By creating an account, placing an order, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use the Service.

2. The Service

InVerba provides an AI-powered document intelligence platform that allows organisations to upload, index, and query their own document repositories using natural language. Answers are grounded in the uploaded documents and include citations to source passages.

The Service is provided on a software-as-a-service (SaaS) basis. We reserve the right to update, improve, or modify the Service at any time, provided that we do not materially reduce core functionality during an active subscription term without notice.

3. Account Registration

• You must be at least 18 years old and authorised to bind your organisation to these Terms
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account
• You must notify us immediately at office@inverba.app if you suspect unauthorised access to your account
• You may not share login credentials between individuals; each seat licence covers one named user

4. Subscription and Payment

4.1 Plans

The Service is available under subscription plans as described on the Pricing page. Plan details, including user limits and document quotas, are specified in your order confirmation or Data Processing Agreement.

4.2 Billing

Subscriptions are billed monthly or annually in advance. Fees are non-refundable except where required by law or as stated in a separate agreement. Invoices are issued in EUR.

Queries beyond your plan's monthly quota are billed at the flat overage rate published on the Pricing page. You are notified when you reach 80% of your quota; overage never applies without prior notification.

Inverba may substitute the underlying AI models used by the Service, provided that answer quality and the commitments in these Terms (including data residency and no-training guarantees) are maintained.

4.3 Taxes

Quoted prices exclude VAT and any applicable local taxes. You are responsible for determining and paying any taxes on your subscription.

4.4 Late payment

We may suspend access to the Service if payment is more than 14 days overdue, after providing written notice. Repeated non-payment may result in termination.

5. Acceptable Use

You agree not to use the Service to:

• Upload or process documents that infringe third-party intellectual property rights without authorisation
• Attempt to reverse-engineer, decompile, or circumvent any security controls
• Share access credentials with unauthorised parties or exceed your licensed user count
• Use the Service in any manner that violates applicable law, including privacy laws or data protection regulations
• Conduct automated bulk queries designed to stress or disrupt the platform

We reserve the right to suspend accounts that violate these rules, following reasonable notice where possible.

6. Your Data

You own your documents. Uploading documents to InVerba does not transfer any intellectual property rights to us. You grant Inverba a limited, non-exclusive licence to process your documents solely as necessary to provide the Service.

We do not access the content of your documents except under explicit support requests with your written authorisation, or when required by law. We do not use customer document content to train AI models.

Data processing is governed by the Privacy Policy and, for enterprise customers, a separate Data Processing Agreement (DPA) available upon request.

7. Confidentiality

Each party agrees to keep confidential any non-public information of the other party received in connection with the Service and to use it only for the purpose of performing obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Intellectual Property

The InVerba platform, software, trademarks, and all related intellectual property are owned by Inverba and are protected by applicable laws. These Terms grant you a limited, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes during the subscription term.

You retain all rights in any outputs generated using your own documents. You may not reproduce, resell, or distribute the Service itself.

9. Security and Compliance

Inverba implements security controls described on our Security page, including AES-256 encryption, per-client KMS keys, and full audit trails. We are GDPR-compliant and comply with the Serbian Law on Personal Data Protection.

You are responsible for ensuring that your use of the Service complies with all applicable regulations specific to your industry and jurisdiction.

10. Service Availability

We target 99.5% monthly uptime for the platform, excluding scheduled maintenance windows (communicated at least 48 hours in advance). Downtime caused by factors outside our control (e.g., third-party infrastructure outages, force majeure) is excluded from uptime calculations.

11. Limitation of Liability

To the fullest extent permitted by Serbian law:

• The Service is provided "as is". We do not warrant that the Service is error-free or that AI-generated answers are accurate or suitable for any particular legal, regulatory, or financial purpose. Always verify AI-generated results with a qualified professional before relying on them.
• InVerba's total cumulative liability for any claims arising from these Terms shall not exceed the fees paid by you in the 12 months immediately preceding the claim
• Neither party shall be liable for indirect, consequential, or punitive damages

12. Term and Termination

Subscription term: The agreement begins on the date you first subscribe and continues until cancelled.

Cancellation by you: You may cancel at any time via your account portal or by email. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued.

Termination by us: We may terminate your account if you materially breach these Terms and fail to remedy the breach within 14 days of notice, or immediately in cases of fraud or serious security incidents.

Effect of termination: Upon termination, your right to use the Service ends. We will retain your document data for 30 days post-termination to allow export, then delete it permanently.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email to the account holder. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the law of the Republic of Serbia. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Belgrade, Serbia.

Before initiating legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for at least 30 days.

15. General

• Entire agreement: These Terms, together with any Order Form or DPA, constitute the entire agreement between the parties regarding the Service
• Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions continue in full force
• Waiver: Failure to enforce any provision is not a waiver of future rights
• Assignment: You may not assign these Terms without our prior written consent
